These present terms and conditions of access and use of this Midsid portal intended for the business market define the rules for accessing and using this platform.

For the purposes of these terms and conditions, the following definitions apply:

Midsid Customer – the entity that maintains a commercial relationship of buying and selling with Midsid and its products, and that is duly registered on this portal in that capacity.

Potential Midsid – the entity that, whether or not maintaining a commercial relationship of buying and selling with Midsid and its products, has registered on this portal in that capacity and is awaiting validation.

Midsid Portal – the computer platform owned by Midsid with the domain: midsid.com, which is intended for the national business market and aims to meet the needs and expectations of all professionals in the retail sector, whether or not they are Midsid customers.

MIDSID - Sociedade Portuguesa de Distribuição, S.A., headquartered at Edifício Logista, Praceta do Vale da Fonte Coberta, 153 and 167, 2894-002 Alcochete, Portugal, a public limited company with Tax Identification Number (registration and corporate number) 504533525, phone number: +351 219 267 800.

Users – all entities that use or visit the Midsid portal (including registered users, Midsid customers, potential Midsid customers, and visitors), to whom these Terms and Conditions of Access and Use of the Midsid Portal apply, and who are obliged to comply with them.

Registered Users – all entities duly registered and authorized to use the Midsid Portal, who have also declared to have acknowledged and accepted the terms and conditions of access and use of Midsid.

Terms and conditions of access, use, and navigation of the Midsid portal, as well as the Privacy and Cookies Policy that govern this portal.

a) By accessing and/or using the Midsid Online Store and, in the case of registered users, also with registration in the Midsid Online Store, it is declared that they have read, accepted, and acknowledged the Terms and Conditions of the Midsid Online Store.

b) Midsid reserves the right, unilaterally, at any time, to change these terms and conditions, committing to advertise these changes in the Midsid Online Store. Whenever changes occur, they will be recorded through the update of the last modification date.

c) Registered users are free to cancel their user registration in the Midsid Online Store at any time.

d) The rupture of the existing commercial relationship between the Midsid customer and Midsid grants Midsid the right to proceed immediately with the cancellation of the registered user's registration in the Midsid Online Store.

e) The use of the Midsid Online Store is solely and exclusively the responsibility of the users.

f) For a user to register on the Midsid Online Store, they should:

        i) Provide and enter all required elements and information;

        ii) Set up access data, providing an email address and password for this purpose;

g) The data and information provided and created by registered users (from the moment the user registers) on this Store may, at any time, be used for the following purposes:

        i) Grant registered users access to the Midsid portal and its respective exclusive functionalities;

        ii) Allow registered users to access relevant content, products, and services.

        iii) Communicate via SMS, email, or other forms of communication with registered users regarding commercial or advertising promotions, relevant information about news, products, and services that appear suitable to their profile.

h) Midsid is free to, at any time, with prior notice given to the registered user of 5 (five) days, cancel their registration on the Midsid Online Store, terminate the associated account, and prevent their access to the Midsid Online Store. This circumstance does not grant any rights to registered users, nor do they have the right to compensation for any damages, of any nature.

a) All information contained in the Midsid Online Store and provided by Midsid is its exclusive property.

b) The use by users of the content made available on the Midsid Online Store by Midsid is permitted for informational and educational purposes only and without any commercial character.

c) The modification, copying, distribution, dissemination, licensing, publication, transmission, reproduction, imitation, use, or creation of derivative works based on the content of the Midsid Online Store is expressly prohibited, except with the prior written authorization of Midsid (holder of these rights) for any purposes other than those permitted and established in the terms and conditions.

d) All elements and contents of the Midsid Online Store (such as texts, trademarks, images, logos, graphics, domain - midsid.com -, sounds, etc.) are protected under general principles of law by national and international legislation on copyright and related rights, intellectual property rights, and competition law.

e) Midsid or any other company involved in the creation, production, or delivery of the Midsid Online Store and its respective content shall not be liable for any damages or consequences resulting from the use of this Store, nor for the incorrect interpretation of the content of the Midsid Online Store, or for any damages and/or losses resulting from the access and use of the Midsid Online Store and its content (even in the case of any inaccuracies or deficiencies), as well as any alterations made to it, including those resulting from accesses created by third parties through other web pages or the performance of the website or mobile application software.

f) Midsid reserves the right, unilaterally, to alter the content of the Midsid Online Store, its mode of operation, its configuration, the way it responds, or to discontinue any component thereof, including terminating this platform, without granting the user any rights, including the right to compensation for any damages or losses, of any nature.

g) The Midsid Online Store is not responsible for what may happen when clicking on references included in the Midsid Online Store to links of external websites and their respective contents.

The user must make a solemn commitment to Midsid to use this store in accordance with the provisions of the law; to this end, the user must ensure that no activity will be carried out here that violates the law, morality, good customs, or the rights of third parties.

In order for users to access the Midsid Online Store, they undertake to respect and comply with these Terms and Conditions, namely to:

 - If they are a registered user, not to disclose their access password to the Midsid Online Store to third parties and to keep it safe in order to prevent third parties from accessing their reserved area.

 - Not to post content that is likely to violate general principles of law and public order.

 - Not to use the Midsid Online Store for purposes other than those established in these Terms and Conditions.

Users are responsible for the accuracy of the data communicated to Midsid and undertake to keep it duly updated, communicating or modifying it whenever changes occur.

A Midsid is not responsible for the impossibility of communication, by any means, with the users.

In case users fail to comply with the obligations arising from the Terms and Conditions, they undertake to indemnify Midsid and other injured parties for all damages, expenses, costs, and lost profits arising from their conduct.

a) The Intellectual Property rights over the Midsid Online Store, as well as all its contents and all the information included therein, belong exclusively to Midsid. Such as text, images, sound, software, and other content.

b) Enjoyment of such content is permitted solely for personal purposes and never for commercial purposes; likewise, it may not be incorporated (in any form) into another work or publication, nor may it be transposed to another website/portal.

c) Any improper or abusive use of Midsid's Intellectual Property rights will be punished according to general principles of law.

The conditions described above are governed by Portuguese law, with express waiver of any others. Therefore, the resolution of any dispute will be the responsibility of Portuguese law and courts.

ORDER

The registered user places their order by completing the purchasing process presented on the Midsid Online Store (midsid.com), adding the product(s) they wish to order to the shopping cart.

To submit their order, the User must:

i) Register on the Midsid Online Store (midsid.com), providing the requested information for this purpose.

ii) Log in (providing the combination of Client Number and password chosen by the User at the time of registration).

iii) Complete the information and choose the options available to you throughout the order completion process (such as choosing the payment method).

The final confirmation of the order by the User constitutes full and complete acceptance of the prices and descriptions of the products available for sale, as well as the present Terms and Conditions of the Midsid Portal, which will be, alongside the commercial contract established with Midsid, the only ones applicable to the concluded contract.

Midsid will honor orders received online only up to the limit of available stock. In case of unavailability of the product, Midsid undertakes to inform the registered user as soon as possible.

The data on the invoice is the sole responsibility of the User. Once issued, the invoice cannot be reissued with changes.

Order requests are valid for 15 (fifteen) days, unless the order is registered under a promotional campaign that defines a different deadline. Prices, discounts, promotions, and offers cannot be guaranteed beyond this period. If payment is not received by our services within the specified period or does not comply with the defined agreements, the order cannot be validated. Any amount received after this date will be refunded or used for a new order.

PAYMENT

a) In the Midsid Online Store (midsid.com), Midsid offers the following payment methods to registered users: Bank transfer and, through INDICATE HERE THE NAME OF THE PAYMENT ENTITY WE WILL WORK WITH, Multibanco reference, and Mbway.

DELIVERY

Orders will be delivered within 5 business days after the order or after payment confirmation. Delivery is carried out by the company Midsid and its distribution team.

PRICES

Prices are in Euros, and these values ​​are subject to applicable taxes and duties; the VAT in force at the time of payment of the order must be taken into account.

CANCELLATION AND RETURN

The cancellation or return process is handled on a case-by-case basis by Midsid. The request must be submitted in writing through the Incidents creation form (available in your reserved area) until the date the order is delivered, and the cancellation or return instructions for the merchandise will be responded to and defined by Midsid, through the same means of communication or by email.

Whenever possible, and if the registered user has already made the payment, the refund will be made via a voucher that can be used in a new order, along with a corresponding credit note, or by bank transfer of the respective amount when requested. The user must provide proof of payment and account or card ownership.

Midsid undertakes to refund the User within a maximum period of 14 days.

In the case of returned products, it is mandatory to ensure that:

If the wrong order is received:

        i) You have 48 hours to communicate and return the merchandise;

If the product is not as specified:

        i) If the product is found to be outside the specifications, you have 14 days from the invoice date to make a claim and return the merchandise. Only returns of merchandise that is intact will be accepted.

        ii) It is mandatory to include the invoice and specify the reason for the return. 

The value resulting from the exchange of products is covered by Midsid, with no extra charge to the customer.
